The complete US tax calendar for Delaware C-Corps. Bookmark this page and check it at the start of every quarter.
If you paid any US-based employee or contractor during the year, W-2s and 1099-NECs must be issued and filed by January 31. Most Africa-based founders with no US staff can skip this.
Paid directly to the state of Delaware, separate from your federal return. Delaware offers two calculation methods. The default Authorized Shares Method often produces an inflated bill; the Assumed Par Value Capital Method is almost always lower. Your accountant should apply the right one automatically.
Key deadlineThe primary annual filing deadline for calendar-year C-Corps. File your completed return or submit Form 7004 by this date for an automatic 6-month extension to October 15. Note: an extension gives you more time to file, not more time to pay. Any tax owed is still due April 15.
Key deadlineExtend your deadline to October 15 ➜Filed alongside Form 1120. Required when your US entity has reportable transactions with a foreign related party, such as founder loans, capital contributions, and expense reimbursements. Penalty: $25,000 per missed or inaccurate form.
Key deadlineExtend your deadline to October 15 ➜Required if your US C-corp owns a foreign entity (e.g. a Nigerian operating company). Filed with Form 1120.
Extend your deadline to October 15 ➜Final deadline if you filed Form 7004 before April 15. No further extensions are available. Forms 5472 and 5471 are also due by this date if your return was extended.
