Version 1.0 — Last revised September 1st, 2026

The website located at komplye.com (the "Site") is a copyrighted work belonging to Komplye, Inc. ("Company", "us", "our", and "we"). Certain features of the Site may be subject to additional guidelines, terms, or rules posted on the Site in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these Terms.

These Terms of Use ("Terms") set forth the legally binding terms and conditions governing your use of the Site. By accessing or using the Site, you accept these Terms on behalf of yourself or the entity you represent, and you represent and warrant that you have the right, authority, and capacity to do so. You may not access or use the Site if you are not at least 18 years old. If you do not agree with all provisions of these Terms, do not access or use the Site.

Please read Section 11.2 carefully. It contains an arbitration agreement requiring that most disputes between you and Komplye be resolved through binding arbitration rather than in court, and includes a class action and jury trial waiver. Unless you opt out within 30 days, you waive your right to pursue disputes as a class member and your right to a jury trial.

1. Accounts

1.1 Account Creation

To use certain features of the Site, you must register for an account ("Account") and provide certain information as prompted. You represent and warrant that all required registration information you submit is truthful and accurate, and that you will maintain its accuracy. 1.2 Account Responsibilities

You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account. You agree to immediately notify Komplye of any unauthorized use or suspected unauthorized use of your Account or any other breach of security. Komplye cannot and will not be liable for any loss or damage arising from your failure to comply with the above.

2.4 Ownership

All intellectual property rights in the Site and its content — including copyrights, patents, trademarks, and trade secrets — are owned by Company or Company's suppliers. These Terms do not transfer any intellectual property rights to you except for the limited access rights in Section 2.1. All rights not expressly granted are reserved.

2.5 Feedback

If you provide any feedback or suggestions regarding the Site, you hereby assign all rights in such feedback to Company. Company may use and exploit such feedback in any manner it deems appropriate. Do not submit information you consider confidential or proprietary.

3. User Content

3.1 User Content

"User Content" means any information or content you submit to or use with the Site, including information submitted through the onboarding form. You are solely responsible for your User Content and assume all risks associated with its use. You represent and warrant that your User Content does not violate our Acceptable Use Policy. Company is not obligated to back up or retain any User Content for a fixed period. Subject to applicable legal obligations, Company may delete User Content when it is no longer needed or otherwise at any time. See our Privacy Policy for more information about retention.

You grant Company a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to reproduce, distribute, display, perform, adapt, modify, and use your User Content: (a) to provide, operate, and maintain the services described on the Site; and (b) to develop, train, maintain, improve, and commercialize Komplye's products, algorithms, machine learning models, and services, including the creation of aggregated, anonymized datasets, financial benchmarks, and analytical insights. Where User Content or financial transaction data is used beyond direct service delivery, it will be irreversibly anonymized and de-identified such that it cannot reasonably identify or be attributed to you, your entity, or any individual.

3.3 Acceptable Use Policy

You agree not to use the Site to:

  • Upload or transmit content that violates any third-party right or applicable law;

All Aggregate Data will be de-identified and anonymized so that it does not identify you or your business entity. Komplye retains all right, title, and interest in and to all Aggregate Data, derivative works, and any associated intellectual property created by or on behalf of Company, all of which shall survive any termination of your Account or these Terms.

4. Indemnification

You agree to indemnify and hold Company (and its officers, employees, and agents) harmless, including costs and attorneys' fees, from any claim or demand made by any third party arising out of your use of the Site, your violation of these Terms, your violation of applicable laws or regulations, or your User Content. Company reserves the right to assume the exclusive defense and control of any such matter at your expense.

5. Third-Party Links

The Site may contain links to third-party websites and services. Such links are not under Company's control, and Company is not responsible for their content or practices. PLATFORM & FINANCIAL SERVICES DISCLAIMER: KOMPLYE IS A SOFTWARE AND TECHNOLOGY PLATFORM PROVIDING BOOKKEEPING, TAX, AND CORPORATE COMPLIANCE TOOLS. UNLESS EXPLICITLY STATED OTHERWISE IN A SEPARATE WRITTEN AGREEMENT, KOMPLYE IS NOT A BANK, INSURED DEPOSITORY INSTITUTION, LICENSED BROKER-DEALER, OR MONEY TRANSMITTER. ANY FUTURE FINANCIAL FEATURES, CREDIT SCORING MODELS, OR BETA TOOLS PROVIDED ON THE SITE ARE FOR INFORMATIONAL AND BUSINESS ENABLEMENT PURPOSES ONLY AND DO NOT CONSTITUTE FINANCIAL ADVICE OR REGULATED FINANCIAL SERVICES.

7. Limitation on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE. OUR LIABILITY TO YOU FOR ANY DAMAGES WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) FIFTY US DOLLARS ($50).

8. Subscription Terms, Discounts, and Cancellation

8.1 Billing Plans

Bookkeeping services are offered on annual (billed once per year) and monthly (billed each month) plans; Starter is monthly only. Tax filing is billed separately as a one-time annual charge. All prices are listed at komplye.com/pricing and may be updated with 30 days' notice.

Government taxes, fees, and penalties (including Delaware franchise tax, Delaware annual report fees, and federal and state income tax) are not included in our fees and are payable by you directly to the relevant authority.

8.2 Tax Filing Discounts for Bookkeeping Clients

Clients on an active bookkeeping plan are eligible for a discount on tax filing services, subject to the following conditions:

  • Annual plan clients receive a 50% discount on base tax filing fees and eligible add-on forms, effective immediately upon payment of the annual subscription.
  • Monthly plan clients receive a 15% discount on base tax filing fees and eligible add-on forms during months 1 through 6 of continuous subscription. Upon completing 6 consecutive months without interruption, the discount increases to50% and remains active for as long as the subscription remains active and in good standing.

Discounts apply to the base tax filing fee and eligible add-on forms at the time of filing. Discounts are non-transferable and may not be combined with other promotional pricing unless explicitly stated.

8.3 Pre-Revenue Discount

Clients with no revenue at the time of filing may be eligible for a15% discount on standalone tax filing fees (i.e., without an active bookkeeping plan). This discount is self-reported at checkout and verified during onboarding. If a client's books or bank records show revenue at the time of onboarding, the standard rate applies and the difference will be invoiced separately.

8.4 Cancellation Policy

Monthly bookkeeping plans may be cancelled at any time. Cancellations require 30 days' written notice sent to [email protected] before the next billing cycle. For example, if your billing date is the 1st of the month and you request cancellation on March 15, your plan remains active through April 30, covering the 30-day notice window. You will not be charged beyond that date.

Annual plan clients may request cancellation at any time, but annual fees are non-refundable once the bookkeeping period has commenced.

8.5 Effect of Cancellation on Tax Discounts

If a monthly plan client cancels before completing 6 continuous months of bookkeeping, they forfeit eligibility for the 50% tenure discount. Tax filings completed during the active subscription period retain the discount at which they were originally invoiced. No penalty fee is charged for early cancellation.

Once a monthly client has reached 6 continuous months and unlocked the50% discount, that discount remains active for any tax filing completed while the subscription is active. If the subscription lapses and is later reactivated, the tenure clock resets.

8.6 Catch-Up Bookkeeping

Where a client's books are unreconciled at the time of onboarding, catch-up bookkeeping is required before any filing may commence. Catch-up is billed separately at a rate determined by the client's transaction volume tier and confirmed during onboarding. Catch-up fees are not subject to bookkeeping plan discounts.

9. Term and Termination

These Terms remain in full force and effect while you use the Site. We may suspend or terminate your rights to use the Site at any time for any reason, including violation of these Terms. Upon termination, your Account and right to access the Site will terminate immediately. Company will not have any liability for any termination of your rights under these Terms. Notwithstanding termination, Company's rights to retain and use Aggregate Data pursuant to Section 3.4 shall survive indefinitely.

10. Copyright Policy

Company respects the intellectual property of others. If you believe that material on the Site infringes a copyright, please send a written notification to our designated Copyright Agent at [email protected] that includes:

11. General

11.1 Changes

These Terms are subject to occasional revision. We will notify you of substantial changes by sending an email to the address associated with your Account and/or by posting notice on the Site. Changes take effect 30 days after notification. Continued use of the Site following notice of changes constitutes acceptance of those changes.

11.2 Dispute Resolution

Any dispute between you and Company relating to the Site, the services, or these Terms will be resolved by binding arbitration, rather than in court, except that either party may assert individualized claims in small claims court if the claims qualify.

Before commencing arbitration, the parties agree to attempt to resolve any dispute informally by notifying the other party in writing and meeting telephonically or via video conference within 45 days. Notice to Komplye should be sent to [email protected].

If informal resolution fails, disputes will be resolved by binding arbitration administered by JAMS under its applicable rules. The arbitrator shall have authority to award the same damages and relief as a court. You and Company agree that neither party will bring claims on a class or representative basis. The arbitrator's award is final and binding.

You have the right to opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first agreeing to these Terms.

11.3 Electronic Communications

By using the Site or sending us emails, you consent to receive communications from Company electronically. You agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communications be in writing.

11.4 Entire Terms

These Terms constitute the entire agreement between you and Company regarding the Site. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force. Your relationship to Company is that of an independent contractor.
